Articles of Association


An Incorporated Foundation


On November 20, 2019 at 12:00pm, a meeting was held of the Davis Senior High School Alumni Association (the “Association”), for the purpose of electing Association officers and adopting articles of association and bylaws.  A quorum was present.  The meeting was called to order by Lynne Yackzan, acting Association President.  After presentation and discussion of the several items on the meeting agenda, a vote was taken, and the following matters were approved.


Formation of the Association was approved, effective November 20, 2019.  The name of the Association is the Davis Senior High School Alumni Association.


The Association shall have the officers set forth below.  The officers shall be elected each November, and shall have a term of one (1) year, and shall serve without compensation.


President – The President of the Association shall preside at all meetings of the Board and shall perform such duties as are normally required of the office, including, but not limited to, the appointing of all standing and special committees necessary for the proper functioning of the Association.


Vice President – The vice President shall, in the absence of the President, perform all the duties of the President.  He or she shall assist the President and perform such duties as prescribed by the Board.


Secretary/Archivist – The Secretary/Archivist shall keep and maintain the official minutes of all meetings of the Association and the Board.  He/She shall direct the collection of and maintenance of DHS Alumni records and database.


Treasurer – The Treasurer shall keep and maintain the official accounting/banking records regarding the monies of the Association, in a manner not consistent with generally accepted accounting principles and/or the requirements of the IRS.  The authorized signatories on the bank accounts shall be the President and Treasurer and may include the Vice President.  Two signatures shall be required on Association checks over two thousand dollars ($2,000).


The specific purposes of the Association are the following:


To communicate effectively with alumni, teachers, administrators, friend, and supporters of Davis Senior High School


To serve as a clearinghouse for alumni information


To host the Davis Senior High School Hall of Fame


To preserve the history and traditions of Davis Senior High School and advance pride in the school’s heritage.


The Association shall undertake the following actions:


Establish communication with Davis High School alumni and friends via websites and events.


Offer support to Davis High School alumni during reunion years’


Recognize and honor Davis Senior High School alumni via the Hall of Fame


Any other actions as the Association officers and its Board shall, from time to time, deem necessary and appropriate.


The Association is organized for non-profit purposes.  Neither the Associations Officers nor Board members shall derive any profit or pecuniary benefit from the Foundation.  The Association does not contemplate pecuniary gain and is organized for non-profit purposes. 


No substantial part of the activities of the Association shall consist of carrying on propaganda, or otherwise attempting to influence legislation, and the Association shall not participate or intervene in any political campaign (including the publishing or distribution of statements) on behalf of any candidate for public office or on behalf of any ballot measure.


The property of the Association is irrevocably dedicated to charitable purposes and no part of the net income or assets of the Association shall ever inure to the benefit of any director, officer or member of the Association or to the benefit of any private persons.


Upon dissolution or winding up of the Association, all assets remaining after payment, or provision for payment, for all debts and liabilities of the Association shall be distributed to Davis Senior High School, a public school operated exclusively for charitable purposes which is tax exempt under section 501(c)(3) of the Internal Revenue Code.


Notwithstanding any of the above statements of purposes and powers, the Association shall not, except to an insubstantial degree, engage in any activities, or exercise any powers, that are not in furtherance of the specific purpose of the Association.




The undersigned hereby declares that the foreoing is a true and correct statement of the decision made at the ________________ meeting of the Association members.  This declaration is executed at Davis, California, on the date set forth below.
